This document constitutes the binding Master Services Agreement (MSA), Data Processing Addendum (DPA), and Privacy Policy for all infrastructure, consulting, and deployment services provided by OrqonixAI LLC ("OrqonixAI," "we," "our," or "us"). By engaging our services, deploying our orchestration layers, or utilizing our customized codebases, you ("Client," "you," or "your") agree to these terms in their entirety.

1. Bring Your Own Key (BYOK) & Infrastructure Liability

OrqonixAI engineers custom software and deployment architectures. We do not operate as an internet service provider, a cloud hosting reseller, or an API wrapper.

• Client-Owned Compute: All production environments, including but not limited to localized container instances, web server configurations, and task orchestration ecosystems, must be deployed on the Client's proprietary infrastructure (e.g., AWS, GCP, Azure, DigitalOcean).
• API & Token Liability: The Client is strictly required to provide and maintain their own API keys for all Large Language Models (LLMs) (e.g., Anthropic Claude, OpenAI, etc.). OrqonixAI holds zero liability for API usage limits, token expenditures, server downtime, or billing disputes resulting from the autonomous execution of these models.
• Software Handover: Upon successful deployment and validation of the architecture, the Client assumes full administrative control and operational liability of the deployed instance.

2. Data Sovereignty & Zero-Retention Processing

Enterprise data security is the foundational premise of our architecture. OrqonixAI acts as the architect, not the data broker.

• Zero Retention Policy: OrqonixAI does not ingest, store, monitor, or retain any Client telemetry, proprietary corporate data, or Personally Identifiable Information (PII) processed by the localized autonomous departments post-deployment.
• Localized Execution: All workflow routing and contextual state processing occurs entirely within the Client's enclosed server environments.
• Model Training Indemnification: OrqonixAI explicitly engineers deployment layers to prevent Client data from being utilized in public LLM training protocols. However, the Client remains solely responsible for auditing the end-user licensing agreements (EULAs) of their chosen LLM providers.

3. Autonomous Action Indemnification

OrqonixAI deploys context-aware state machines designed to execute complex logic automatically. The Client acknowledges the inherent risks of autonomous digital execution.

• Execution Risk: OrqonixAI is not liable for errors, financial losses, miscommunications, or reputation damage resulting from the autonomous actions of deployed agents.
• Failover Reliance: While we engineer strict logic gates and human-in-the-loop failover mechanisms, it is the strict responsibility of the Client to monitor the telemetry of their digital workforce and intervene when operational anomalies occur.
• No Warranty on "Hallucinations": We deploy advanced prompt engineering; however, due to the non-deterministic nature of generative AI, absolute factual accuracy cannot be guaranteed. OrqonixAI disclaims all warranties regarding the avoidance of "hallucinations."

4. Intellectual Property & Code Ownership

To protect our core engineering assets, OrqonixAI enforces strict IP delineations on all deployments.

• OrqonixAI IP: We retain exclusive intellectual property rights to the core routing frameworks, foundational orchestration schemas, and proprietary deployment methodologies.
• Client IP: The Client retains 100% ownership of their specific prompt libraries, integrated proprietary data, generated outputs, and customized front-end interfaces engineered specifically for their instance.

5. High-Ticket Retainers & Refund Policy

We operate exclusively on B2B enterprise retainer structures. We do not engage in hourly freelance contracts.

• Irrevocable Deployments: Because our infrastructure deployments involve the irreversible handover of proprietary code and customized workflow configurations, all payments are strictly non-refundable upon the commencement of deployment.
• Service Level Agreements (SLAs): Ongoing maintenance, failover support, and system updates are exclusively provided under active, paid retainer agreements. Lapsed retainers forfeit access to immediate technical remediation.

6. General Privacy Policy & Site Telemetry

This section governs the data collected directly by OrqonixAI through our marketing interfaces, domains, and corporate communications.

• Information Collection: We collect direct communication data (emails, technical inquiry specs) and automated analytics data (IP addresses, browser telemetry) strictly to audit B2B web traffic and qualify enterprise inquiries.
• Data Usage: OrqonixAI does not, and will never, sell your telemetry or corporate contact data to third-party data brokers.
